Governance Function

  • Oversight of the Manager’s performance of senior living properties while providing the unique insights and experience of the governing body. 

  • Regularly evaluate policies and goals, review and approve budgets, and make recommendations for future operations.

Financing Events

  • Providing access to tax-exempt debt markets aligned with the long-term and stable nature of the properties. 

  • Review and approve all agreements and documents pertaining to the acquisition, disposition, or affiliation with another organization.

Non-profit Status

  • Taking all actions reasonably necessary to maintain the organization's 501(c)(3) status as a disregarded entity for income tax purposes and wholly owned subsidiary of Citadel, and maintain the tax-exempt status of the Bonds or any subsequent bonds.
